Terms of Service

Dogwood is a marketplace operated by Prime Chase Data LLC (“Dogwood,” “we,” “us,” or “our”) that connects clients with independent photographers and videographers (“creators”) in the DC, Maryland, and Virginia area. These Terms of Service (“Terms”) are a binding agreement between you and Prime Chase Data LLC. By creating an account or using Dogwood, you agree to these Terms. If you do not agree, do not use Dogwood.
1. Who we are
Dogwood is a brand and product of Prime Chase Data LLC. References to “Dogwood” in these Terms mean Prime Chase Data LLC operating under the Dogwood brand.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use Dogwood. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account.
3. Our role: a marketplace, not the creator
Dogwoodis a venue that helps clients and creators find one another, communicate, agree on terms, transact, and confirm delivery. Creators are independent professionals and businesses — they are not employees, partners, or agents of Dogwood. Dogwood does not take, edit, deliver, or supervise any photography or videography services, and is not a party to the agreement between a client and a creator. Any contract for creative services is solely between the client and the creator.
4. Ownership of photographs and creative works
All photographs, videos, images, designs, and other creative assets displayed on Dogwood are and remain the exclusive property of the creator or studio that produced them. Prime Chase Data LLC and Dogwoodclaim no ownership of, and acquire no right, title, or interest in, any creator’s photographs, footage, or other creative works, whether displayed on a profile, in a portfolio, in a delivered gallery, or anywhere else on the platform.
- Each creator (or their studio) retains all copyright and intellectual property rights in their work at all times.
- By listing on Dogwood, a creator grants Prime Chase Data LLC only a limited, non-exclusive, revocable, royalty-free license to display and promote their submitted or publicly available materials for the sole purpose of operating and marketing the marketplace, always with attribution to the creator. This license ends when the content or profile is removed.
- For profiles we pre-build from a creator’s own public website or channels, the displayed materials and copy remain owned by that creator, are credited to them, and may be claimed or removed by them at any time on request.
- Rights to delivered photos or video are governed by the agreement between the client and the creator. Dogwood grants no rights in, and makes no warranty about, those works.
5. For clients
You can browse creators, post a brief, message creators, and book by accepting a quote. You agree to provide accurate brief and contact details and to deal with creators in good faith. The scope, schedule, deliverables, and usage rights for your shoot are set in your agreement with the creator.
6. For creators
You are responsible for the accuracy of your profile, packages, pricing, availability, and any materials you upload, and you represent that you own or are licensed to use everything you post. To receive payouts you must complete onboarding with our payment processor (Stripe) and comply with its terms. Dogwood charges a commission on bookings and offers optional paid subscription plans that raise how many new clients you can contact each week.
7. Bookings, quotes, and payments
When a client accepts a quote, a deposit is collected to reserve the date and the remaining balance is charged before the shoot. Dogwoodcollects payment, deducts its commission and payment-processing costs, holds the funds, and releases the creator’s payout after the client confirms delivery or the review window elapses. Payments are processed by Stripe; by transacting you also agree to Stripe’s terms. Card details are handled by Stripe and are not stored by Dogwood.
8. Creator subscriptions
Paid creator plans are billed monthly through Stripe and renew automatically until canceled. You can change or cancel anytime through the billing portal; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law. We may change plan features or pricing with reasonable notice.
9. Cancellations and refunds
Booking cancellations and refunds are governed by our Refund Policy, which is incorporated into these Terms.
10. Delivery and confirmation
Creators deliver final files through their own gallery tools (such as Pixieset, Pic-Time, or Dropbox). Dogwood does not host high-resolution galleries and is not responsible for the availability of third-party delivery tools. Clients are asked to open their gallery and confirm receipt; payout to the creator follows confirmation or the automatic release window.
11. Disputes and chargebacks
If a delivery has a problem, a client may open a dispute during the review window. Dogwood reviews disputes and may refund, release, or reach a compromise at its reasonable discretion. Card chargebacks are handled through Stripe and your card issuer. Initiating a chargeback instead of using our dispute process may result in account suspension.
12. Acceptable use
You agree not to:
- provide false information or impersonate any person or business;
- post content you do not own or have the right to use, or that infringes anyone’s intellectual property or privacy;
- harass, threaten, or discriminate against others;
- scrape, reverse-engineer, overload, or interfere with the platform or its security;
- use Dogwood for any unlawful purpose.
13. No off-platform circumvention
Where Dogwood introduces a client and creator, the parties agree to transact through Dogwood for that engagement and not to move it off-platform to avoid fees. Repeated circumvention may result in suspension.
14. Third-party services
Dogwoodrelies on third-party providers (including Stripe for payments, and creators’ own delivery tools). We are not responsible for third-party services, and your use of them may be subject to their own terms.
15. Disclaimers
Dogwoodis provided “as is” and “as available” without warranties of any kind, to the fullest extent permitted by law. We do not warrant the quality, safety, legality, or outcome of any creator’s services, which are provided solely by the creator.
16. Limitation of liability
To the fullest extent permitted by law, Prime Chase Data LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or for the acts, omissions, or services of any creator or client. Our total liability for any claim relating to Dogwood will not exceed the greater of the fees we earned on the transaction at issue or US$100.
17. Indemnification
You agree to indemnify and hold harmless Prime Chase Data LLC and its officers, employees, and agents from claims and costs arising out of your use of Dogwood, your content, or your breach of these Terms.
18. Suspension and termination
You may stop using Dogwood at any time. We may suspend or terminate accounts that violate these Terms or harm the community. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.
19. Governing law and disputes
These Terms are governed by the laws of the United States and the state in which Prime Chase Data LLC is organized, without regard to its conflict-of-laws rules. The state and federal courts located there have exclusive jurisdiction, except where applicable law provides otherwise. We encourage you to contact us first so we can try to resolve any issue informally.
20. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by the “last updated” date above, and continued use after changes means you accept the updated Terms.
